Terms and conditions

Clear about
what we agree.

These terms apply to everything we build and look after for you. They are written to be read: what you get, what it costs, how long it runs and where you stand if something goes wrong.

1. Who we are and what these terms cover

These terms are those of MakeMorrow, registered with the Dutch Chamber of Commerce under number 82165734, reachable at hello@makemorrow.nl.

These terms apply to every offer, quotation and agreement between MakeMorrow and you — whether you buy as a consumer or on behalf of a business. Where something applies to consumers only, it says so explicitly.

Arrangements that depart from these terms apply only if we have recorded them in writing or by email, and then they take precedence. We reject a business client's own purchasing conditions unless we have expressly accepted them.

2. A few words we use

  • Subscription — the website subscription: you pay a fixed monthly fee for building, hosting and maintaining your website.
  • One-off project — a website you buy outright, which becomes yours on delivery and full payment.
  • Website — the design, structure, technology and the copy we write for you.
  • Consumer — a natural person not acting in the course of a profession or business.
  • Working day — Monday to Friday, excluding public holidays recognised in the Netherlands.

3. How an agreement comes about

Our quotations are without obligation and valid for thirty days unless stated otherwise. The agreement is concluded as soon as you take out a subscription through the checkout, or approve a quotation by email.

Obvious mistakes, typing errors and pricing errors do not bind us: we will point them out and may correct the offer. On purchase you receive a confirmation by email; these terms accompany it and can be saved or printed.

If you request a free design, we produce a proposal for your website without obligation. It costs nothing and commits you to nothing. The design remains our work for as long as you do not proceed with it: you may review and judge it, but not build it yourself or have someone else build it. If we do work together, article 12 applies.

4. What you get

We sell your website in two ways. With a subscription, the design, the build, hosting, the SSL certificate, backups, technical maintenance and support are all covered by one monthly fee, with nothing to pay upfront. With a one-off project you pay once for the build; hosting and maintenance are not included unless separately agreed.

What each package contains is set out on the packages page, and that description forms part of the agreement. In the kick-off call we jointly establish the goal, audience and structure; those agreements are the basis for what we build.

5. Term, cancellation and renewal

A subscription has a minimum term of twelve months, counted from the first payment. You cannot cancel during those twelve months; the remaining monthly instalments remain payable.

After twelve months the subscription continues for an indefinite period and can be cancelled monthly. It does not roll over into a new fixed period. Cancel by emailing hello@makemorrow.nl; the subscription ends at the close of the calendar month in which you cancel. We may cancel the same way, giving two months' notice.

When the subscription ends, the website goes offline — unless you buy it. Article 6 explains how.

6. Who owns the website, and how you buy it

While the subscription runs, the website remains the property of MakeMorrow. For the duration you hold a non-exclusive, non-transferable right to use it. That is exactly what makes the subscription possible: you pay no lump sum for the build.

What you supply stays yours: your copy, photographs, logo, brand name and your domain name. On termination you receive them back on request, including the text and images that were on your website.

You may buy the website at any time for the one-off price of the same package: € 995 for Onepager, € 1,495 for Groei and € 2,495 for Pro. On purchase and full payment, the rights to the design made specifically for you and the code written for you transfer to you. Third-party components — open source, fonts, stock material, plug-ins — and MakeMorrow's reusable building blocks are excluded; for those you receive a perpetual, non-exclusive right of use for this website. Hosting does not automatically continue after purchase; we then agree whether we carry on hosting or hand the website over.

7. Prices, VAT and payment

All prices on our website include VAT. The monthly fee is collected in advance through our payment provider Stripe, using the payment method you supply at checkout: the first instalment immediately, then on the same day each month. The invoice follows by email.

One-off projects are invoiced in two instalments — 50% on commissioning, 50% on delivery — payable within fourteen days, unless we agree otherwise.

During the twelve-month minimum term the price of your subscription does not change, except where the VAT rate changes by law. After that we may adjust the price once a year, announced at least one month in advance. If you are a consumer and the price rises, you may cancel the subscription with effect from the date the increase takes effect.

8. If a payment fails

If a charge fails, Stripe retries automatically and you are notified. If payment is still not received, we send a reminder. As a consumer you then get at least fourteen days to pay before we charge collection costs, calculated according to the statutory scale.

Business clients are in default once the payment term expires, without further notice, and owe statutory commercial interest plus collection costs of 15% with a minimum of € 40.

If payment is still not made after the reminder, we may suspend our work and take the website offline temporarily. We announce that beforehand, and put it back online as soon as payment is received.

9. Hosting, domain and availability

Hosting, SSL and backups are included in every subscription. We use professional providers for hosting. We do our utmost to keep your website reachable, but cannot guarantee uninterrupted availability: maintenance, supplier outages and force majeure can cause downtime. Planned maintenance is carried out outside office hours where possible.

Your domain name stays yours, even if we register or manage it for you. On request we transfer it to you or to another party. Costs for domain registration, business email and paid third-party services are not included in the subscription unless expressly stated.

10. Maintenance, support and small changes

We carry out technical maintenance, updates and security work continuously, without you having to do anything.

Support covers your questions about the website and small changes: text, images, opening hours, a team member or a simple section. New pages, new functionality, a new design or integrations with other systems fall outside it. We agree those with you in advance and invoice them separately, or resolve them by moving to a larger package.

We handle support requests on working days as quickly as reasonably possible. Guaranteed response or resolution times apply only where agreed in writing.

11. What we need from you

To build, we need material and decisions from you: copy, images, your logo, access to your domain and timely feedback. You warrant that you are entitled to use the material you supply, and you indemnify us against third-party claims about it.

Any stated lead time starts once we have all the material and approvals in hand, not when you order. If material arrives late or not at all, the planning shifts. The subscription continues during that period, because hosting and availability continue too.

We may refuse to publish something, or take it offline, if the content breaches the law or the rights of others.

12. Intellectual property

Intellectual property rights in what we make — design, code, structure and the copy we write — rest with MakeMorrow until they transfer under these terms. For a one-off project that happens on full payment; under a subscription it happens on purchase, as described in article 6. The same exception for third-party components and our reusable building blocks applies in both cases.

We like to show what we make: we may use the work in our portfolio and in references. If you would rather we did not, tell us and we will not.

13. Consumer cooling-off period

If you buy as a consumer at a distance, you have a fourteen-day cooling-off period, counted from the day after the agreement is concluded. Within that period you may withdraw without giving reasons by messaging hello@makemorrow.nl; you may use the statutory model withdrawal form, but need not. We confirm receipt and refund within fourteen days.

We only start work once the cooling-off period has expired, unless you expressly ask at checkout to begin sooner. If you do, you also acknowledge that you lose your cooling-off right once the work has been fully performed. If you withdraw while we are already working, you pay an amount proportionate to what has been delivered at that point.

No statutory cooling-off period applies to business clients.

14. Liability

We do our work carefully and with craft. What we take on is a best-efforts obligation: we promise no particular revenue, search engine position or visitor numbers.

Our liability is limited to direct loss and to the amount you paid us in the twelve months before the loss arose, up to a maximum of € 5,000. We are not liable for indirect loss such as lost revenue, missed savings, loss of data or reputational damage, nor for loss caused by material you supply incorrectly or incompletely, nor by supplier outages.

These limits do not apply in cases of intent or deliberate recklessness on MakeMorrow's part, nor to the extent the law does not permit them: mandatory provisions in favour of consumers apply in full. Business clients must report a claim within twelve months of discovering the loss, failing which it lapses; this time limit does not apply to consumers.

15. Force majeure

In cases of force majeure we may suspend our obligations for as long as the situation lasts. Force majeure includes at least outages at hosting, network or payment providers, cyberattacks, power or internet failure, government measures and — given the size of our business — prolonged illness of the person carrying out the work. If force majeure lasts longer than sixty days, either party may terminate the agreement for the part not yet performed, without any compensation being due.

16. Privacy and payment data

How we handle personal data is set out in our privacy statement. Your payment details are processed by Stripe; we neither see nor store card details. Where we process personal data on your behalf — data from a form on your website, for instance — we record that in a data processing agreement.

17. Complaints, disputes and governing law

If something is not right, tell us within fourteen days at hello@makemorrow.nl. We respond substantively within fourteen days, and almost always sooner. Most things are settled in a single conversation.

Dutch law governs our agreements; the Vienna Sales Convention is excluded. If we cannot resolve a dispute together, it goes before the competent court in the district where MakeMorrow is established. As a consumer you may, within one month of us invoking that, choose the court that has jurisdiction by law.

18. Changes to these terms

We may amend these terms. New agreements are governed by the version on this page. For a running subscription we announce a change by email at least one month in advance; if you disagree with a change that is not in your favour, you may cancel the subscription with effect from the date it takes effect. The top of this page always states when the current version was adopted.
